Welcome to Happycrop, a digital platform for the Agricultural Input B2Ch Industry. These Terms of Use (“Terms”) govern your use of the Happycrop platform (“Platform”) and all associated services and features, including, without limitation, the buying and selling of agricultural inputs (“Transactions”).
By using the Platform, you agree to these Terms. If you do not accept these Terms in their entirety, then you may not use the Platform.
In order to use the Platform, you must be at least eighteen (18) years old and have the legal capacity to form a binding contract. If you are not of legal age or lack legal capacity, you may not use the Platform.
You may use the Platform to purchase or sell agricultural inputs. All Transactions are subject to these Terms, as well as any additional terms and conditions that may be agreed upon by the parties involved in the Transaction.
All content, data, and information provided on the Platform is owned solely by Happycrop. You may not copy, reproduce, or distribute any such content without the express written permission of Happycrop.
You may post user content to the Platform, including, but not limited to, comments and reviews. By posting any user content, you grant Happycrop a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, copy, distribute, prepare derivative works of, display, and perform your user content in connection with the Platform.
HAPPYCROP PROVIDES THE PLATFORM “AS IS” AND WITHOUT ANY WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED. HAPPYCROP EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. HAPPYCROP MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND WITH RESPECT TO THE PLATFORM AND ANY TRANSACTIONS CONCLUDED THROUGH THE PLATFORM.
IN NO EVENT SHALL HAPPYCROP BE LIABLE FOR ANY DAMAGES OF ANY KIND, INCLUDING, BUT NOT LIMITED TO, DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, ARISING OUT OF OR IN CONNECTION WITH THE PLATFORM, THESE TERMS OR ANY TRANSACTIONS CONCLUDED THROUGH THE PLATFORM.
You agree to indemnify and hold harmless Happycrop from any and all claims, losses, damages, liabilities, expenses, and costs (including attorney’s fees) arising out of or related to your use of the Platform or any Transactions concluded through the Platform.
These Terms shall be governed by and construed in accordance with the laws of the State of Maharashtra, without giving effect to any choice or conflict of law provision or rule.
These Terms constitute the entire agreement between you and Happycrop with respect to the Platform, and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and Happycrop. If any provision of these Terms is found to be invalid or unenforceable, the remainder of these Terms shall remain in full force and effect. The failure of either party to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
